1. Agreement to Terms

By accessing or using the Regent Protocol website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Regent Protocol provides automated freight audit and recovery services for third-party logistics providers (3PLs). Our services include carrier invoice analysis, billing discrepancy identification, and recovery claim management.

3. Eligibility

Our services are intended for business use only. By using our services, you represent that you are authorised to enter into this agreement on behalf of your company and that your company is a legally registered business entity.

4. User Responsibilities

You agree to:

  • Provide accurate and complete information when using our services
  • Maintain the confidentiality of any account credentials
  • Ensure you have the right to share carrier invoice data with us
  • Use our services only for lawful purposes
  • Not attempt to reverse engineer or interfere with our systems

5. Fees and Payment

Our standard pricing model is contingency-based, meaning we only charge a percentage of successfully recovered funds. Specific fee arrangements will be detailed in your service agreement. Initial audits and consultations are provided at no charge.

6. Confidentiality

We treat all client data as strictly confidential. Upon request, we will execute a Non-Disclosure Agreement (NDA) before receiving any sensitive business information. We will not disclose your data to third parties except as required to provide our services or as required by law.

7. Intellectual Property

All content, features, and functionality of the Regent Protocol website and services, including but not limited to text, graphics, logos, and software, are the exclusive property of Regent Protocol and are protected by UK and international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the fullest extent permitted by law, Regent Protocol shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services. Our total liability shall not exceed the fees paid by you to us in the twelve months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive for accuracy in our audits, we cannot guarantee the recovery of any specific amount or that all billing errors will be identified.

10. Termination

Either party may terminate the service relationship with 30 days written notice. Upon termination, we will return or destroy your data as instructed, subject to any legal retention requirements.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
